PROJECT SOLAR Ts AND Cs FOR OPTIMISATION AND GRID SERVICES
These Ts and Cs apply where:
Project Solar has installed a solar pv system (panels, a battery and inverter) at your house; and
you have downloaded the Project Solar app(s) as applicable; and
you have agreed to the supply by Project Solar of optimisation and grid services, having read and agreed to our key terms and these Ts and Cs; and
you have a working electricity smart meter which can give us/our trusted partner half hourly readings
Definitions
“Contract” means the contract between You and Project Solar which is:
- these Terms and Conditions, as amended in accordance with clause 13.1;
- the Project Better Energy Group’s Website and App Terms of Use Website And App Terms of use – Project Solar UK
- The Project Solar privacy policy Privacy Policy – Project Solar UK
- The Grid Services Grid Services – Project Solar UK
“Benefits” means the benefits You gain from (1) Optimisation Services
(2) Grid Services which may include cost savings on Your energy bill and/or rewards on the Project Solar App.
“Demand Event” means a period of time as determined by NGESO when Project Solar may use Your Flexibility Assets to earn You Benefits by participating in the Demand Flexibility Service.
“Demand Flexibility Service” means NGESO’s Demand Flexibility Service, an initiative to reward households for reducing energy usage during a Demand Event.
“Event Outside Our Control” means an unforeseeable or unavoidable event that is outside Our control such as strikes, lockout or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat, war, fire, explosion, storm, flood, earthquake, epidemic, failure of public/private telecommunications networks or energy supply or any changes to requirements for balancing the grid such that the services in this Contract breach those requirements/applicable law/regulations and/or electricity industry and any other relevant industry codes.
“Flexibility Assets” means the battery energy storage system and solar photovoltaic inverter installed at Your house by Project Solar.
“Good Industry Practice” means the standards, practices, methods, and procedures and that degree of skill and care, diligence, prudence, and foresight which would reasonably be expected from a skilled, experienced, and adequately resourced operator engaged in the same area of operations.
“Grid Services” means virtually combining Your Flexibility Assets with others to gain rewards from participating in energy demand reduction and/or energy demand increase services in the energy market as described in clause 4.
“Home Page” means the front page on the Project Solar App (as applicable) which shows You Your property, solar pv system, battery, EV charger (if applicable), the grid, energy consumption, CO2, and money savings.
“NGESO” means National Grid Electricity System Operator Limited, a company registered in England and Wales with company number 11014226 whose registered office is at 1-3 Strand, London WC2N 5EH.
“Optimisation Services” means:
working out what energy You use when to ensure Your needs are met in a cost- effective way;
using weather forecasts to decide when to use solar energy or charge from the grid;
buying energy at low prices and either using it or selling it back to the grid when prices are high; and
working out how to maximise returns by exporting unused energy back to the grid.
“Project Solar,” “We” or “Us” or “Our” means Project Solar UK Limited, registered in England and Wales with company number 07673744, with its registered office at Unit 1, Lakes Court, Lancaster Park, Newborough Road, Needwood, Burton-On-Trent, DE13 9PD.
“Project Solar App” means any Project Solar mobile application notified to you by Project Solor, available at the Apple App Store or the Google Play Store, and as applicable and as updated or amended by Project Solar from time to time.
“REGO” means a Renewable Energy Guarantees of Origin certificate, issued via the scheme administrator, Ofgem, certifying that the electricity in respect of which the certificate is issued, was electricity produced from renewable energy sources. One
REGO is issued for every megawatt hour (MWh) of gross renewable electricity generated by an accredited generating station. Once issued, REGOs can be traded with or without the electricity to which they were issued.
“Services” means either or both of Grid Services and/or Optimisation Services.
“You” or “Your” means you, the customer, who has bought a solar pv system from Project Solar which has been installed at Your house, downloaded the Project Solar+ App, and agreed to the supply of Optimisation and Grid Services.
1. Start date
- The Contract starts on the later of (1) the date on which Your solar pv system is installed by Project Solar (2) the date on which You download the Project Solar App and (3) the date on which You agree to the supply of Optimisation and Grid Services.
- To receive Optimisation and Grid Services, You must have a working electricity smart meter which can give Us half hourly readings and a working broadband connection.
- The Contract continues until terminated by either You or Project Solar as set out in clauses 8.3, 9, 10 or 12.3. You agree that the Optimisation Services and Grid Services will, subject to earlier termination in accordance with those clauses, continue for a minimum of 12 months from the date on which they start to be provided.
- Your Benefits will start to accrue shortly after Optimisation Services start to be provided. However, different services have different timescales, and it may take twelve months for You to save money on Your energy bills. Where we elect to pass on any benefit arising from your participation in (1) Optimisation Services (2) Grid Services, we may, at our sole discretion, provide eligible customers with a benefit in such form as we determine from time to time, which may include but is not limited to account credits, vouchers, product discounts, or other forms of reward. Any such benefit is subject to eligibility criteria, availability, and the terms of any reward program, which we may introduce, vary, or withdraw at any time without notice. Participation in grid services does not guarantee the receipt of any reward, payment, or benefit.
2. Project Solar’s obligations
- The Services are managed for Project Solar by Power On Technologies Limited trading as Joulen. Joulen will control Your Flexibility Assets in accordance with Good Industry Practice.
- Project Solar will notify You if it becomes aware that Joulen cannot operate Your Flexibility Assets to undertake Grid Services where they have been unable to do so for over 24 hours.
3. Your Responsibilities
- You agree to:
Keep your solar pv system and Flexibility Assets in good condition in accordance with manufacturers’ instructions and Your connection agreement with Your Distribution Network Operator (DNO); and
Keep Your Flexibility Assets connected to the internet and power at Your property and agree to the use of Your broadband for data sharing; and
Keep a connection to the manufacturer’s portal for Your Flexibility Assets, making sure You comply with their terms and conditions; and
Project Solar/its partners acting as Your agent for interactions with the manufacturer of Your Flexibility Assets to manage software updates for Your Flexibility Assets and to meet the terms of this Contract; and
Give Project Solar UK accurate and up to date information about Your contact details, and Your Flexibility Assets;
Promptly inform Project Solar about any changes to Your import/export tariffs; and
Make sure that Your house and the Flexibility Assets continue to be supplied by an electricity operator; and
Give Project Solar and its approved partners the right to monitor the Flexibility Assets, to take sole control of their operation and to act as the exclusive controller(s) of Your Flexibility Assets when taking part in Grid Services; and
Allow Project Solar, its partners and NGESO, its agents and/or contractors access for remote testing, physical checks, audit and inspection (if needed) and that You may incur charges if a physical check is due to Your failure or an issue caused by You.
You confirm that:
You are over 18 years of age;
Project Solar has installed Your Flexibility Assets;
You have not already signed up with any other Flexibility Provider for Your Flexibility Assets;
You will not sign up with any other Flexibility Provider for Your Flexibility Assets without notifying Us.
4. The Grid Services
- Please click the link below to see the Grid Services We can provide. The list of Grid Services will be changed and updated from time to time, and You should check it regularly to see which Grid Services are available. Grid Services – Project Solar UK
- Please note that Your ability to benefit from the Grid Services will depend on Your Flexibility Assets and that You may not be able to benefit from all the Grid Services;
- When Project Solar launches:
its tariff optimisation service, your tariff data may be shared with Project Solar and its partners so they can compare your tariff with other tariffs from Your current or other suppliers and let You know if You could save money by switching;
its REGO Certificates service, You can get REGO Certificates for renewable energy generated by Your Flexibility Assets. You agree that once launched, Project Solar/its partner(s) can act as Your agent to:
administer the accreditation of Your generating station (a facility capable of generating renewable electricity), acting as the sole contact with Ofgem;
submit output data and other information required to request a REGO under the relevant regulations, acting as the sole contact with Ofgem for this function;
request the issue of REGOs and receive on Your behalf and for Your benefit, the REGOs to which You are entitled, acting as the sole contact with Ofgem for this function;
sign on Your behalf the electronic statement on the REGO Register confirming that You are entitled to make the request and You have not made a request, nor intend to do so, for the issue of guarantees of origin in another Member State for the same electricity;
submit to Ofgem any request, notification, statement, or provision of information requested under the relevant regulations.
5. Smart metering data
- You consent to Project Solar and Joulen (or its replacement) collecting data including consumption and registration data and device logs from the API and Your smart meter, the Data and Communication Company (DCC) and any other third parties as may be required to enable the performance of the Grid Services. If this data is personal data as set out in the UK GDPR, it will be handled in accordance with clause 12 of this Contract.
- Your gas and electricity energy consumption and generation information and energy tariff information with the price you are charged for energy consumed and information identifying the energy meter will be requested from Your smart meter at least once a day to enable the Grid Services.
6. Payments
- If you comply with the terms of this Contract:
You should start to see energy savings on your bills. The savings may only become apparent over the course of a year;
You may receive Benefits and such Benefits may be received at different times as some Grid Services provide benefits sooner than others.
- You acknowledge and agree that Project Solar makes no guarantees or assurances that You will receive any specific level of energy savings, Benefits, or reductions in carbon emissions.
7. Parties’ responsibilities
- Nothing in this Contract excludes or limits either party’s responsibility for death or personal injury caused by its negligence, for fraud or for anything else it cannot exclude or limit at law.
- Project Solar is not responsible for losses You suffer if the loss is unexpected, if the loss is due to Your breach of this Contract, if You use the Flexibility Assets for any commercial, business or re-sale purpose, for delays caused by an Event Outside Our Control or for something You could have avoided by taking reasonable action.
- Save for Project Solar’s responsibility to You under clause 7.1, its maximum responsibility to You for loss under this Contract is limited to the total amount of the Benefits that You would have received if Project Solar had not breached the Contract.
- You shall indemnify and keep indemnified Project Solar from and against all actions, claims, demands, costs, expenses, liabilities or damages it suffers as a result of any third party claims arising from Your breach of this Contract, any breach of Your obligations in this Contract and Your failure to comply with appliable law, Your failure to follow laws or get approvals for the system installation.
- You confirm You have read and accept the Project Better Energy Group’s Website and App Terms of Use Website And App Terms Of Use – Project Solar UK and the Project Solar Privacy Policy Privacy Policy – Project Solar UK.
8. Events Outside Project Solar’s Control (Force Majeure)
- Project Solar is not responsible for Events Outside Our Control.
- If such an event does occur, Project Solar will notify You as soon as possible, its obligations will be paused, and it will try to resolve the issue or find a workaround. Services will re-start once the event ends.
- Either You or Project Solar can end the Contract on written notice if such an event lasts more than two months.
9. Ending the Contract Your Rights
- You can cancel this Contract within 14 days of signing it (cooling-off period) by calling Us on 01283 243593 or completing and sending to Us at [email protected] our model cancellation form.
- You can terminate this Contract immediately if Project Solar commits a material breach which is not remedied within 14 days of Your written notice to do so; Project Solar goes into liquidation or a receiver or administrator is appointed over its assets; clauses 8.3, 9 or 13.1 apply.
Project Solar’s Rights
- Project Solar can give You 1 month’s months written notice to terminate this Contract at any time 12 months after the Services have started to be performed. Project Solar can terminate this Contract immediately if any relevant agreement to which it is a party with one or more third parties upon whom it relies to provide all or part of the Services is terminated; You commit a material breach which is not remedied within 14 days of its written notice to do so; You cannot pay Your debts as they fall due or are declared bankrupt; You move out of Your property or it is repossessed at any time; or clause 8.3 applies.
- Ending the Contract does not affect any rights or obligations from before the termination.
10. Moving Home
If You are moving house, You must notify Project Solar in writing at least 30 days before by emailing [email protected]. Your Contract will automatically end on the moving date, and you will no longer receive any further Benefits save for those already accrued.
11. Complaints

12. Your data
- By entering into this Contract, You confirm that You consent to the use and sharing of Your personal details, including Your personal details, as explained in the Project Solar privacy policy and as set out in this Contract. We may share Your name, address, email address, customer reference number, maximum import/export capacity, whether You export to the grid, Meter Point Administration Number (MPAN), meter manufacturer, model and serial number, battery and inverter information, information on power generation, half-hourly metered energy consumption, energy export, usage information and other details about Your participation in the Services with NGESO and Joulen (or any replacement).
- Full details of how Project Solar may use Your personal data including sharing of Your data can be found in its privacy policy and in this Contract.
- You may withdraw consent to the collection of data as envisaged under the terms of this Contract at any time by emailing Project Solar on [email protected]. However, if You withdraw consent, the Services will stop, and You will no longer receive Benefits.
13. General Terms
- Project Solar can make minor changes to this Contract without Your prior written consent. However, if it makes changes which are disadvantageous to You, it will give You 30 days’ notice, and You can terminate the Contract on written notice.
- If a court or competent authority decides any part of this Contract is invalid, unlawful, or unenforceable, that part of it will be severed from the rest, which will continue to be valid as far as permitted by law.
- This Contract and any disputes arising from it shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts save that if Your home is in Scotland or Northern Ireland, Scottish courts and the Northern Irish courts apply respectively.
